Terms of Service

These terms govern your use of Round Two. Please read them carefully. By using our platform, you agree to these terms, which outline your rights, responsibilities, and our mutual obligations. We've written them in clear language to help you understand what to expect.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Square One, a digital design business in the Netherlands, operating the Round Two platform ("we," "us," or "our").
By accessing or using Round Two (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
Round Two is a trademark of Square One. These Terms apply to all users of the Service, including visitors, registered users, and contributors.
2. Description of Service
Round Two is a feedback board platform that enables users to:
- Create and manage feedback boards
- Collect, organize, and prioritize user feedback
- Enable voting and commenting on feedback items
- Track feedback status and generate AI-powered summaries
- Manage workspaces and team members
- Process payments for subscription services
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. User Accounts
3.1 Account Creation
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Maintain the security of your password
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
3.2 Account Eligibility
You must be at least 16 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
3.3 Account Termination
You may delete your account at any time through your account settings. We reserve the right to suspend or terminate your account if you violate these Terms or our Acceptable Use Policy.
4. User Responsibilities
You are responsible for:
- All content you post, submit, or transmit through the Service
- Compliance with all applicable laws and regulations
- Maintaining the confidentiality of your account credentials
- Ensuring that your use of the Service does not violate any third-party rights
- Backing up any important data (we are not responsible for data loss)
5. Acceptable Use
You agree to use the Service in accordance with our Acceptable Use Policy. Prohibited activities include, but are not limited to:
- Posting illegal, harmful, or offensive content
- Violating any applicable laws or regulations
- Infringing on intellectual property rights
- Attempting to gain unauthorized access to the Service
- Interfering with or disrupting the Service
- Using the Service for spam or unsolicited communications
Violation of the Acceptable Use Policy may result in immediate termination of your account.
6. Intellectual Property
6.1 Our Intellectual Property
The Service, including its original content, features, and functionality, is owned by Square One and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The Round Two name and logo are trademarks of Square One.
6.2 Your Content
You retain ownership of any content you create, post, or submit through the Service ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to:
- Use, reproduce, and display your User Content to provide the Service
- Modify your User Content as necessary to provide the Service (e.g., formatting, processing for AI summaries)
- Share your User Content with other users as intended by the Service (e.g., public boards)
This license terminates when you delete your User Content or your account, except where the content has been shared with other users (e.g., comments on feedback items).
6.3 Feedback and Suggestions
If you provide us with feedback, suggestions, or ideas about the Service, you agree that we may use such feedback without restriction or compensation to you.
7. Payment Terms
7.1 Subscription Model
The Service operates on a pay-as-you-go subscription model. Each workspace includes 1 free seat (workspace members or pending invitations). Additional seats beyond the first are charged at $8.00 USD per seat per month.
Seat count includes both active workspace members and pending invitations. When you add a member or send an invitation, the subscription automatically adjusts to include the new seat. When you remove a member or cancel an invitation, the subscription automatically decreases.
7.2 Free Tier
Workspaces with exactly 1 total seat (members + pending invitations) are on the free tier and do not require payment. When a workspace has more than 1 total seat, payment setup is required to continue adding members.
7.3 Pricing
Current pricing is $8.00 USD per seat per month for seats beyond the first free seat. Pricing is displayed on our pricing page. We reserve the right to change pricing with 30 days' notice. Price changes will not affect your current billing period.
7.4 Payment Processing
Payments are processed by Stripe, a third-party payment processor. By making a payment, you agree to Stripe's terms of service. We do not store your full payment card information. All payment data is securely handled by Stripe.
7.5 Billing and Automatic Adjustments
Subscriptions are billed monthly in advance. The subscription quantity automatically adjusts based on your workspace's total seat count (members + pending invitations). When you add seats, billing is prorated for the current billing period. When you remove seats, the subscription quantity decreases immediately, and you will receive a prorated credit for unused time.
If your workspace returns to 1 seat, the subscription is automatically paused (no charges apply), but remains active for easy reactivation when you need more seats again.
7.6 Subscription Cancellation
You may cancel your subscription at any time through your account settings. When you cancel:
- The subscription is cancelled immediately
- You will receive a prorated refund for unused time on your paid seats
- All workspace members except the workspace owner and one admin (the oldest admin if the owner cancels, or the cancelling admin if an admin cancels) will be removed immediately
- All pending invitations will be cancelled immediately
Cancellation is immediate and cannot be undone. After cancellation, your workspace will return to the free tier (1 seat).
7.7 Refunds
When you cancel your subscription, you will automatically receive a prorated refund for any unused time on your paid seats. Refunds are processed to your original payment method and may take 5-10 business days to appear.
7.8 Failed Payments
If a payment fails, we will attempt to process it again. If payment continues to fail, we may suspend your subscription and restrict access to paid features. You remain responsible for any outstanding fees. You can update your payment method at any time through your account settings.
7.9 Tax Information
You may provide tax identification information (such as a VAT number) for your workspace. This information will be included on invoices issued by our payment processor. You are responsible for ensuring the accuracy of any tax information you provide.
8. Service Availability
We strive to provide reliable service but do not guarantee that the Service will be available 100% of the time. The Service may be unavailable due to:
- Scheduled maintenance
- Unscheduled maintenance or updates
- Technical failures or outages
- Force majeure events
We are not liable for any damages resulting from Service unavailability.
9. Third-Party Services
The Service integrates with third-party services, including:
- Supabase (database and authentication)
- Stripe (payment processing)
- Anthropic (AI services)
- Vercel (hosting)
Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or use of our servers or your account
- Any interruption or cessation of transmission to or from the Service
- Any bugs, viruses, or other harmful code
- Any errors or omissions in any content
- Any loss or damage resulting from User Content or third-party conduct
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Square One, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your User Content
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.
12.2 Jurisdiction
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Netherlands.
12.3 Informal Resolution
Before filing a claim, you agree to contact us at info@squareone.nl to attempt to resolve the dispute informally.
13. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the "Last updated" date
- Sending you an email notification (for significant changes)
- Displaying a notice on the Service
Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
